1. Definitions

In these Terms, "TogoPeptide", "we", "us" or "our" refer to the legal entity operating togopeptide.com as identified on the Imprint page. "You", "Buyer" or "User" means the natural or legal person accessing the site or placing an order. "Compound" means any research chemical offered on the site. "Order" means a purchase placed via the site. "COA" means Certificate of Analysis. "Consumer" has the meaning of article 6:230g Dutch Civil Code (natural person not acting in the course of a profession or business).

2. Scope and acceptance

These Terms govern every interaction with the site including browsing, account creation, newsletter signup, order placement and post-sale support. By continuing past the cookie banner, creating an account, or placing an Order, you accept these Terms in full. The Research-Use Disclaimer, Privacy Policy, Returns Policy and Cookie Policy are incorporated by reference. If you do not accept all of these documents, do not use the site.

3. Research-use only — buyer representations

Every Compound on this site is supplied strictly as a research chemical for in-vitro analytical or approved animal-research purposes. Compounds are not medicines, dietary supplements, cosmetics, veterinary products, novel foods or consumer products. They are not authorised for human administration in any form.

By placing an Order, you represent and warrant that:

  • You are at least 18 years of age and have full legal capacity to enter into this purchase.
  • You are placing the Order for bona fide laboratory research (in-vitro analytical, characterisation, assay development, or properly-approved animal research).
  • You will not administer the Compound to any human being, including yourself, nor supply it to any third party for such administration.
  • You will not use the Compound on any animal outside a research protocol reviewed and approved by an ethics committee of competent jurisdiction.
  • You have verified that possession, import and use of the Compound is lawful in your jurisdiction.
  • You will handle, store and dispose of the Compound in accordance with standard laboratory safety practice and the institutional waste-handling policy applicable to you.
  • You will not resell, repackage, re-label or redistribute the Compound in a manner that implies fitness for human use, medical use, cosmetic use or any other non-research application.

Breach of any of these representations is a material breach of this agreement and transfers full and sole liability to you in accordance with section 10.

4. Pricing, orders and payment

Prices are displayed in Euro (EUR) including applicable Dutch VAT where relevant. Prices may change without prior notice; the price shown at checkout at the moment of Order placement is binding for that Order. Payment is processed by Mollie B.V. as an independent payment service provider — payment card data never touches our systems.

A contract of sale is formed only when we confirm the Order by dispatching the goods or by sending a dispatch-confirmation email. We reserve the right, at our sole discretion and without liability, to refuse, cancel or reverse any Order where:

  • We reasonably suspect the Order is not placed for bona fide research use.
  • Delivery would be unlawful in the destination jurisdiction.
  • The Order fails fraud or payment-risk checks.
  • A manifest pricing error is present on the site.
  • Stock levels do not support fulfilment and we cannot re-produce the Compound within a reasonable time window.

5. Shipping, risk and delivery

Delivery zones, carriers and transit windows are published on the Shipping page. Stated windows are best-estimate based on prior dispatches; we accept no liability for courier delays, customs holds, weather events or other circumstances outside our direct control.

Risk in the goods transfers to you upon handover to the courier for Consumer Orders, in line with article 7:11 Dutch Civil Code. For business-to-business Orders, risk transfers upon handover to the courier designated by you (Incoterms EXW our EU dispatch origin, unless agreed otherwise in writing).

If the parcel arrives visibly damaged, refuse acceptance where possible and contact us within 48 hours with photographs. Concealed damage must be reported within 48 hours of delivery acceptance.

6. Consumer right of withdrawal and its limits

Where you qualify as a Consumer under EU distance-selling rules, you normally have a 14-day right of withdrawal starting on the day after delivery. However, this right does not apply to:

  • Goods manufactured or produced to your specification (e.g. fresh-batch Orders produced for you specifically) — article 6:230p sub f Dutch Civil Code.
  • Goods that, once the tamper-evident seal is broken, are not suitable for return for hygiene, health or research-integrity reasons — article 6:230p sub g Dutch Civil Code.
  • Goods that by their nature are mixed inseparably with other items after delivery (reconstituted peptide solutions).

Sealed, unopened in-stock Compounds may be returned within 14 days of delivery in their original packaging under the full Returns Policy. By proceeding with a fresh-batch Order you expressly acknowledge the withdrawal exemption under article 6:230p sub f.

7. Quality specification and warranty scope

Each Compound ships with a signed batch-specific COA documenting HPLC purity, mass-spec identity, peptide content, water content and endotoxin level, matched to the batch ID on the vial label. Our warranty is limited to compliance of the delivered material with the specification stated on the COA.

We make no other express or implied warranties and in particular disclaim, to the maximum extent permitted by law, any warranty of fitness for a particular purpose, merchantability outside of research-use framing, efficacy for any protocol outcome, or suitability for human, veterinary, therapeutic, cosmetic or consumer use.

8. Prohibited uses

You may not, and may not permit any third party to:

  • Administer or allow administration of a Compound to any human being.
  • Resell, gift, or supply a Compound in a form, packaging or context that implies fitness for human use, supplementation, treatment or cosmetic application.
  • Repackage, re-label, re-brand, re-sell or re-compound the material.
  • Use a Compound on animals outside an ethics-approved research protocol.
  • Claim on any public or private channel that TogoPeptide has endorsed, recommended or supplied a Compound for human use or health outcome.
  • Use the site, its data, catalog or imagery to promote self-experimentation, human dosing, athletic performance enhancement or aesthetic application.

9. Indemnification

You agree to indemnify, defend and hold harmless TogoPeptide, its directors, employees, suppliers and agents from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or connected with: (a) any breach by you of these Terms or of the representations in section 3; (b) any use of a Compound outside bona fide research; (c) any claim that Compound use caused personal injury, illness or property damage; (d) any claim brought by a third party to whom you supplied, resold or gifted the Compound. This indemnity survives termination of these Terms.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to your use of the site or any Order is capped at the amount actually paid by you for the specific Order giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, loss of profit, loss of data, loss of research output or loss of opportunity, regardless of legal theory.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our gross negligence or wilful misconduct; (b) fraud; or (c) any other liability that cannot be excluded or limited under Dutch law.

11. Intellectual property

All site content — text, logos, design system, photography, data compilations and the catalog structure — is owned by TogoPeptide or its licensors and protected under Dutch and EU copyright, database-right and trademark law. You receive a limited, non-exclusive, non-transferable licence to view the site for personal, research or internal business purposes. Any other copying, republication, scraping, derivative work or commercial reuse without our prior written consent is prohibited.

12. Force majeure

We are not in breach of these Terms or liable for any delay in performance caused by circumstances beyond our reasonable control including, without limitation: acts of God, natural disaster, pandemic, armed conflict, industrial action, transport disruption, carrier failure, customs seizure, supplier insolvency, infrastructure outage, regulatory intervention or change of applicable law.

13. Account, password and suspension

You are responsible for keeping your account credentials confidential and for all activity under your account. We may suspend or terminate an account where we reasonably believe it is being used in breach of these Terms, for fraudulent purposes, or in a way that materially harms other users or our operations. Suspension does not waive any amount owed.

14. Privacy and cookies

Our processing of your personal data is governed by the Privacy Policy. Use of cookies is governed by the Cookie Policy. Both are incorporated into these Terms.

15. Governing law and dispute resolution

These Terms and any non-contractual obligations connected with them are governed exclusively by the laws of the Netherlands, with the UN Convention on Contracts for the International Sale of Goods (CISG) expressly excluded.

Before commencing formal proceedings, the parties shall attempt to resolve any dispute by good-faith negotiation for a period of at least 30 days. If not resolved, the competent court in the district where TogoPeptide has its registered office shall have exclusive jurisdiction, save that Consumers retain any mandatory jurisdictional rights under EU law. Consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Severability, no-waiver, assignment

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not waive that right. You may not assign your rights under these Terms without our prior written consent; we may assign these Terms to a successor entity in connection with a reorganisation, sale or acquisition.

17. Entire agreement

These Terms, together with the documents incorporated by reference in section 2, constitute the entire agreement between you and TogoPeptide with respect to the subject matter and supersede any prior or contemporaneous understandings, whether oral or written.

18. Notices and contact

Legal notices to TogoPeptide must be sent to info@togopeptide.com with the subject line including "Legal notice". We may send notices to you at the email address associated with your account or Order. Registered-office contact details are on the Imprint page.

19. Changes to these Terms

We may amend these Terms to reflect legal, regulatory, operational or technical changes. The current version is always the authoritative one and accessible from the Legal page. Material changes will be summarised at the top of this page with a revised effective date. Continued use of the site after an update constitutes acceptance of the amended Terms.
